Trade Show Exhibitor Contract

Dates to know
At time of sign up (before 30 days prior to event date): At least 50% deposit due at the time of booth selection.

30 days prior to event date: Payment for space is due in full.

30 days prior to event date: Not eligible for discount rates on additional orders such as power, tables, carpeting and subject to show deadlines. Add on orders subject to availability. Company logo and title may not be included in web and printed marketing material.

*Any exhibitor who does not pay according to the payment terms is subject to losing its assigned space. A.G.E. has sole discretion to reassign the space to applicants if booth space is not yet paid or if no communication is received by original exhibitor. In all cases, no exhibitor shall be allowed to install its exhibit unless it has paid all fees in full (unless otherwise finalized by A.G.E. representative as addendum).

Eligible Exhibits
A.G.E. reserves the sole right to determine the eligibility of any company, product, or service to exhibit in the exposition, and further reserves the right to reject any application.

First Come, First serve, Seniority and Veteran exhibitor process
Exhibitors in good standing will be granted booth space as well as other benefits to be determined by A.G.E. An exhibitors’ standing is determined by A.G.E. in accordance with its operating procedures (ie: outstanding balances, complaints, consistency of exhibitor).
A.G.E. reserves the right to modify any floor plan to accommodate sales space or relocate Exhibitors to avoid conflict, as necessary. In all instances, A.G.E. reserves the right to determine final placement of the exhibitor.

Schedule
Exhibitor shall adhere to the event schedule. Exhibitor shall vacate booth space on said dates outlined in Exhibitor Kit.
Early breakdown of exhibitor booth is strictly prohibited. Exhibitor is subject to $500 fine if booth is broken down before scheduled ending of show. Please refer to the on site show brochure for specific times.

General Conduct
Abusive conduct and inappropriate behavior at A.G.E. including such conduct that is directed toward A.G.E. staff, attendees, guests, Exhibitors, affiliated representatives, or any other person participating in the trade show is prohibited. At A.G.E.’s sole discretion, Exhibitor may be given notice and an opportunity to cure any violation of this general standard of conduct. A.G.E. reserves the right to immediately reject, eject, remove or prohibit any exhibit or any Exhibitor or its representatives from the trade show, if, in its sole and absolute discretion, the exhibit or the conduct of the Exhibitor or its representatives violates any rules or regulations and/or, are detrimental to the goals and purpose of the trade show. A.G.E. shall have the right, upon such determination, to require immediate removal of the exhibit of the offending Exhibitor, and/or to confiscate any illegal material or property in the possession of the Exhibitor. If any exhibit or Exhibitor is rejected, ejected, removed or prohibited from exhibiting, in whole or in part, from the Trade Show, Exhibitor shall not be entitled to any refund of Exhibit Space cost, registration fees or any other fees, and will remain liable for any damages caused by its actions.
Exhibitor acknowledges and agrees that A.G.E. shall have no liability whatsoever arising out of its interpretation and enforcement of any of the foregoing.

PROHIBITED materials
No smoking is permitted in the convention area unless in designated smoking areas. Exhibitor and its representatives will comply with all laws and regulations of any state or governmental agency having jurisdiction over the venue premises. Exhibitor’s promoted product is subject to venue rules and regulations; regarding what is deemed “illegal” and is venue’s discretion to be removed.

Limitation of Exhibits
A.G.E. reserves the right to stop or remove from the exposition any exhibitor (or any agent, employee, or representative thereof) performing an act or practices, including but not limited to any displays, presentations, or demonstrations, which A.G.E. finds objectionable, violates the Terms and Conditions, or detracts from the dignity of the event. In the event A.G.E. removes or stops an exhibit or demonstration, exhibitor shall not be entitled to a refund of exhibit fees or any other cost incurred by the exhibitor. A company’s participation in the exposition does not reflect a product endorsement by A.G.E. The exhibitor may not make any statements in print, orally, or electronically that state or imply such endorsement.

Booth Specifications
Exhibitors are required to ensure that their displays do not have a negative impact on the show environment through excessive noise, heat, light, etc. No walls, partitions, paintings, decorations, or other obstructions may be erected which will in any way interfere with the view of any other exhibitor.

Fire Department and Other Exhibitor Regulations
Fire department and other regulations must be observed. Electrical equipment must be UL approved and must be wired by a licensed electrician. Drayage charges are the sole responsibility of the exhibitor. Shipping will be available through Exhibitor Kit. Containers and packing material will be stored only in the designated areas by the decorator.

Exhibit Space
Subleasing and Sharing of Exhibit Space is strictly prohibited. All signs, displays, and products in a booth must be related to the exhibitor’s company AND APPROVED ASSOCIATES. Contracts and orders may be written for future delivery of products and services. “Cash and Carry” will be permitted and up to the sole discretion of A.G.E. if this method poses a problem to the event.
The booth must be inhabited by the company on file and approved by A.G.E.

Payment Terms
All applications for exhibit space must be accompanied by full payment.
No refunds are available at any time.
A.G.E. reserves the right to deny exhibit space to companies that have overdue account balances. Exhibit space assignments are made on a first-come, first-served basis after past exhibitors have made their selections. A.G.E. reserves the right to alter an exhibitor’s assigned space if it is deemed necessary in the best interests of the exposition.

Limitation of Liability
Exhibitor shall make no claim of any kind against A.G.E., its agents, or employees; the hotel, or city and/or state wherein the exposition is held for any loss, damage, theft, or destruction of goods; nor for any injury that may occur to itself or its employees while in the Exhibit Hall and venue; nor any damage of any nature or character whatsoever, and without limiting the foregoing, including any damage to its business by reason of the failure to provide space for an exhibit or removal of the exhibit or for any action of A.G.E. or its participants, agents, or employees in relation to the exhibit or exhibitor.

Indemnification by Exhibitor
Exhibitor shall be solely responsible to its agents and employees and to all third persons, including invitees and the public for all claims, liabilities, actions, costs, damages, and expenses arising out of or relating to the custody, possession, operation, maintenance, or control of the leased space or exhibit, for negligence or otherwise relating there to. Exhibitor shall indemnify, defend, and hold harmless A.G.E. for all liability related to exhibitors’ exhibit or any act or omission of exhibitor or any of its employees or agents; including accident or injury to invitees, guests, exhibitors, their agents, and employees and including loss or damage to personal property. Exhibitor agrees to keep harmless A.G.E., and the Exhibit Hall and/or hotel, from any and all costs arising from fees incurred under the copyright law regarding the liabilities of playing recorded and/or live music and video in the exhibit area at any time during A.G.E.

Cancellation of Exposition
If A.G.E. should be prevented from holding the exposition for any reason beyond A.G.E.’s control (such as, but not limited to, fire, damage to building, riots, strikes breached by exposition location, acts of government, or acts of God), then A.G.E. has the right to cancel the exposition or any part thereof, with no further liability to the Exhibitor other than a CREDIT of exhibit fees less a proportionate share of the exposition cost incurred.

Insurance
Exhibitors must make provisions for safeguarding their display and property at all times. Exhibitor acknowledges that A.G.E. AND VENUE do not maintain insurance covering the exhibitor’s property and that it is the sole responsibility of the exhibitor to obtain business interruption and property damage insurance covering such losses by Exhibitor.

Photography and Videotaping
Consent of A.G.E. is needed in order to take photographs or video. The use of American Glass Expo or A.G.E. name, logo or likeness is up to A.G.E. discretion to have removed from any outlet. Obtaining permission from A.G.E. is strongly encouraged before photos are printed, distributed or posted via web; and before videos are made “live.”

Listing and Promotional Materials
By exhibiting at the exposition, exhibitor grants A.G.E. a full paid, perpetual, nonexclusive license to use, display, and reproduce the name of the exhibitor in any directory or list of the conference exhibitors and to use such names in promotional materials.
A.G.E. shall not be liable for any errors in any listing or for omitting exhibitor from any directory or listing pertaining to the conference.

Use of the Association Name, Logo, or Acronym
Confirmed Exhibitors may state in advertising promotions that they will be exhibiting at A.G.E. Any use of the A.G.E. name, logo, or acronym is strictly prohibited without prior consent. Damage to Property
Any damage, including but not limited to damage to the hotel, exhibit hall or exhibit area, caused by an exhibitor will be paid for by that exhibitor. Exhibitors are prohibited from painting, taping, nailing, screwing, drilling, or tacking anything to the walls, columns, floor, or ceiling of the building; adjoining displays; or the official contractor’s display material.

Food and Beverages
Food and beverages (within the exhibit venue) must be purchased from the official concessionaire, unless incident to exhibitor’s product line with written approval of the official concessionaire. All arrangements for food and beverage for special needs over and above the planned functions must be made with the catering department.

Exposition Location Rules
Exhibitor shall adhere to and not cause any violation of the rules and regulations of the exposition property owner. Soliciting outside the confines of the Exhibitor’s assigned space is prohibited. A.G.E. reserves the right to distribute any conference materials and A.G.E. information to all attendees and exhibitors in the exhibit hall.

Prize Drawings & Raffles
Exhibitors may hold drawings for prizes in their individual booths, except if they conflict in any way with the conference, exhibit, or local laws. Competitive events including but not limited to meetings, social functions, forums, sessions, off site events, or scheduling attendee transportation which overlap or conflict with any scheduled conference or exposition event is strictly prohibited. Violation of this clause may result in expulsion from the exhibit hall and/or exclusion of the organization from exhibiting at future conferences at the “discretion” of A.G.E.

Merger Clause
The parties agree that this Agreement (and, any other Agreement referred to herein), contain the complete agreement between the parties and supersede any prior understandings, agreements, or representations by or between the parties, written or oral, which may have related to the subject matter hereof in any way.

Attorney’s Fees
In the event of any dispute concerning this Agreement, the prevailing parties shall be entitled to reasonable attorney’s fees.

Amendments to Terms and Conditions
A.G.E., at its discretion, may make reasonable changes, amendments, or additions to these Terms and Conditions. Any changes, amendments, or additions shall be binding on exhibitor.

I, the undersigned, agree to all terms, conditions, authorization, and covenants contained in these Terms & Conditions/ Show Contract. By submitting this contract, I agree to pay A.G.E. for exhibit space in accordance with the terms outlined herein. This agreement serves as a binding contract between A.G.E. and company/individual.

By filling out this form I am committing to a booth for the Winter 2019 show. Form and deposit are a sign of commitment. I understand that I still may be required to complete an approval process. I am not guaranteed a booth or booth placement. I will not be billed if i am not approved. I understand that there are No refunds offered at this time.
